These Terms of Service (the “Terms”) govern the use of the Floral.am technology platform (referred to as “Floral.am,” the “Platform,” or “we”) and establish the rights and obligations of persons who create and manage online stores through the Platform.

By registering a partner account on Floral.am, taking the designated action to accept these Terms, or activating the relevant service, the partner agrees to these Terms.

If you act on behalf of an organization, you confirm that you have the necessary authority to accept these Terms on its behalf.

If you do not agree to these Terms, you must not register or use a partner account.

These Terms are governed by the laws of the Republic of Armenia.

1. General Provisions

1.1. Description of the Platform

Floral.am is a Software-as-a-Service (SaaS) platform that enables entrepreneurs and organizations to create, manage, and grow their own online flower stores.

The Platform may provide the following features:

online store creation and management;
selection of ready-made design templates;
product and catalog management;
order and customer management;
delivery zone and delivery condition settings;
discount and promotional offer management;
payment system integrations;
custom domain or subdomain support;
statistics and reporting tools;
technical support;
additional paid services.

Certain features may only be available under an applicable pricing plan or upon activation of an additional service.

1.2. Role of Floral.am

Floral.am acts as a technology service provider.

Floral.am:

is not the seller of products offered by partner stores;
is not a party to sales agreements between buyers and partner stores;
does not prepare or deliver flowers unless expressly provided under a separate service;
is not the recipient of buyers’ payments for products;
does not guarantee the quality, availability, or delivery times of products offered by partners.

Sales relationships are established directly between buyers and the relevant partner stores.

1.3. Scope of These Terms

These Terms primarily govern the relationship between Floral.am and partner stores.

Buyers of partner stores are subject to the sales, delivery, refund, and other terms of the relevant store, subject to applicable law.

2. Account Registration and Use

2.1. Registration Requirements

Partner accounts on Floral.am may be created by persons who have the necessary legal capacity and authority.

During registration, partners must provide accurate, complete, and up-to-date information.

Partners are responsible for the accuracy of the information they provide.

2.2. Account Security

Partners must:

keep their login credentials confidential;
not disclose passwords to unauthorized persons;
grant employees only the access permissions necessary for their duties;
promptly notify Floral.am of any suspected unauthorized access.

Actions performed through a partner account are deemed to have been performed by the partner or with the partner’s authorization unless the facts or applicable law indicate otherwise.

2.3. Account Transfer

Partners may not transfer their accounts or contractual rights to another person without Floral.am’s prior consent, except where permitted by law.

2.4. Updating Information

Partners must promptly update their contact, business, and other necessary information.

Floral.am may request additional information to protect account security, comply with legal requirements, or properly provide its services.

3. Partner Store Operations

3.1. Independent Business Activities

Each partner independently organizes and conducts its business activities.

Partners independently determine:

the range of products offered;
product prices;
delivery areas and fees;
business hours;
order acceptance conditions;
discounts and special offers;
refund and cancellation policies, subject to applicable law.

3.2. Partner Obligations

Partners must:

comply with applicable laws of the Republic of Armenia;
publish accurate product information;
fulfill accepted orders;
ensure appropriate product quality;
respect consumer rights;
provide buyers with necessary contact and business information;
fulfill their tax and accounting obligations;
lawfully process buyers’ personal data.

3.3. Prohibited Activities

The following activities are prohibited on the Platform:

selling products or services prohibited by law;
publishing false or misleading information;
engaging in fraud or creating fraudulent orders;
infringing the intellectual property rights of others;
distributing malicious software;
attempting to compromise Platform security;
using the services to violate third-party rights.

Floral.am may restrict or suspend such activities in accordance with these Terms and applicable law.

4. Customer Orders and Payments

4.1. Order Acceptance

Buyers place orders through the relevant partner’s online store.

The relevant partner store is responsible for order fulfillment, product availability, product quality, preparation, and delivery.

Floral.am provides the technical order management system.

4.2. Receipt of Payments

Payments made by buyers for products are received directly by the relevant partner store through its selected payment provider or bank.

Floral.am does not receive these payments into its own account and does not subsequently transfer them to partners.

Payment service providers may apply their own fees, restrictions, and terms.

4.3. Payment Refunds

The relevant partner store is responsible for refunding buyers, canceling orders, and resolving payment disputes in accordance with applicable law and its own sales terms.

Floral.am may provide technical assistance but is not obligated to reimburse amounts relating to partner sales from its own funds.

4.4. Payment Integrations

Partners are responsible for complying with the requirements applicable to their payment accounts, banking agreements, and payment systems.

Floral.am does not guarantee the uninterrupted operation of third-party payment systems.

5. Pricing and Service Fees

5.1. General Pricing Principles

Fees for Floral.am services are calculated according to the pricing plans published on the Platform and applicable during the relevant period.

The Platform may apply order-based percentage fees, monthly maximum fee caps, fixed charges, or other pricing models.

Current pricing is published on Floral.am’s official website: https://floral.am.

5.2. Current Pricing Model

As of the publication date of these Terms, the following pricing applies:

A 5% commission on the value of each successfully completed order.
A maximum of AMD 20,000 per billing month.
No mandatory fixed monthly subscription fee.
No store registration or connection fee.
If there are no orders subject to commission during a billing month, the service fee is AMD 0.

The total monthly commission may not exceed the maximum cap applicable to the relevant period.

5.3. Commission Calculation

Floral.am’s commission is calculated on the value of each successfully completed order, taking into account amounts actually refunded to the buyer.

No commission is charged on canceled or fully refunded orders.

In the event of a partial refund, commission is calculated only on the portion of the order amount that has not been refunded.

For example, if an order totals AMD 20,000 and AMD 5,000 is refunded to the buyer, the commission calculation base is AMD 15,000. At the current 5% rate, the commission would be AMD 750, subject to the monthly maximum cap.

Cancellations and refunds are taken into account only if they occur before the commission for the relevant order has been collected.

If the commission for an order has already been collected and the order is subsequently canceled or fully or partially refunded, the collected commission will not be recalculated, refunded, or credited against the partner’s subsequent payment obligations.

The total commission payable for a billing month may not exceed the maximum monthly cap applicable to that period.

5.4. Changes to Pricing

Floral.am reserves the right to change its service pricing, including:

commission percentages;
minimum or maximum monthly fee limits;
fixed charges or additional service fees;
fee calculation models and conditions.

Floral.am will notify existing partners of fee increases or material changes to its pricing model at least 30 calendar days in advance, by email, through the management dashboard, or through another agreed communication method.

The notice must specify the new pricing and its effective date.

New pricing applies only to billing obligations arising after the changes take effect.

Fees for completed billing periods will not be recalculated retroactively, except for adjustments required to correct calculation errors.

5.5. Disagreement With Pricing Changes

If a partner does not agree to the new pricing, the partner may discontinue using the Platform before the changes take effect, in accordance with these Terms.

Termination does not release the partner from payment obligations incurred before termination.

5.6. Billing and Payment Obligations

Partners must pay the fees calculated for Floral.am services in accordance with the applicable pricing and payment terms.

Payment deadlines, payment methods, and billing periods are specified in the relevant Platform section, invoice, or separate agreement.

5.7. Unpaid Invoices

If a payment deadline is missed, Floral.am may notify the partner of the outstanding amount and provide a reasonable opportunity to pay.

If the obligation remains unpaid, Floral.am may restrict certain features or temporarily suspend services in accordance with these Terms and applicable law.

5.8. Third-Party Fees

Floral.am service fees do not include fees charged by banks, payment systems, domain registrars, or other independent providers unless expressly stated otherwise.

Such fees are governed by the terms of the relevant service providers.

6. Additional Services

Floral.am may offer additional paid services, including:

product photography;
uploading product photographs and descriptions;
domain configuration;
data import;
additional technical support;
custom integrations.

The price, scope, delivery timeframe, and potential limitations of each additional service are agreed separately.

If the results of an additional service include copyrighted materials, the rights to use those materials will be determined by the relevant agreement.

7. Domains and Subdomains

7.1. Floral.am Subdomains

Partners may receive an online store operating under a Floral.am subdomain, subject to technical availability.

Providing a subdomain does not transfer ownership rights to the partner.

Floral.am may refuse or modify a subdomain name if it violates applicable law, third-party rights, or Platform usage rules.

7.2. Custom Domains

Partners may connect domains that they own or are legally authorized to use.

Partners are responsible for:

domain registration and renewal;
maintaining the necessary rights to the domain;
DNS configuration;
domain registration fees, unless otherwise separately agreed.

7.3. Domain Changes

When a custom domain is connected, the Platform may offer or technically implement redirects from the previous subdomain or deletion of the previous subdomain to reduce duplicate-content risks and potential search engine issues.

Floral.am does not guarantee specific search engine rankings or visitor numbers.

7.4. Service Termination

Upon termination of services, partners retain their existing rights to their own custom domains.

The right to use a Floral.am-provided subdomain may be terminated.

8. Content and Intellectual Property

8.1. Partner Content

Partners retain their existing rights to product photographs, descriptions, trademarks, and other materials uploaded to the Platform.

Partners grant Floral.am a non-exclusive permission, to the extent necessary to provide the services, to store, technically process, and display such content in the relevant online store.

8.2. Platform Intellectual Property

Floral.am’s software code, design system, management tools, software components, and other proprietary Platform materials belong to their respective rights holders.

Partners receive a limited, non-exclusive, non-transferable right to use the Platform in accordance with these Terms.

8.3. Prohibited Use

Without appropriate authorization, the following are prohibited:

unlawful copying or distribution of Platform software code;
circumvention of security mechanisms;
unlawful reproduction of software;
resale of Platform services without consent;
infringement of third-party intellectual property rights.

9. Personal Data Protection

Floral.am processes personal data in accordance with its Privacy Policy and applicable law.

Partner stores are independently responsible for determining the purposes and legal grounds for processing their buyers’ personal data.

As a general rule, Floral.am processes such data on behalf of partners to provide Platform services.

Partners must not use the Platform to unlawfully collect, transfer, or otherwise process personal data.

10. Service Availability and Maintenance

Floral.am strives to maintain stable and secure Platform operations.

However, service availability may be temporarily limited due to:

scheduled maintenance;
software updates;
security incidents;
server or network failures;
failures of third-party services;
circumstances beyond our reasonable control.

Floral.am does not guarantee that the services will be completely uninterrupted or error-free.

In the event of scheduled maintenance or significant disruptions, we aim, where reasonably possible, to notify partners and restore services within a reasonable period.

11. Technical Support

Floral.am may provide technical support to partners regarding Platform features and usage.

The scope and availability of support may depend on the selected pricing plan or additional arrangements.

Technical support does not include managing a partner’s business activities, resolving disputes with buyers, or fulfilling the partner’s legal and tax obligations unless a separate service has been agreed.

12. Account Suspension and Restrictions

Floral.am may temporarily restrict or suspend access to a partner account or certain features if:

the partner materially breaches these Terms;
there are reasonable grounds to suspect fraud;
the Platform is used for unlawful purposes;
there is a significant security risk;
the partner fails to fulfill payment obligations;
a restriction is required by law or a lawful request from a competent authority.

Where possible, the partner will be given a reasonable opportunity to remedy the violation.

Immediate suspension may be imposed where necessary to protect security, the rights of others, or compliance with the law.

Partners may contact support to clarify the reasons for a restriction or request reconsideration.

13. Service Termination

13.1. Termination by the Partner

Partners may discontinue Floral.am services by submitting an appropriate request or using a feature provided by the Platform.

Termination does not release partners from payment or other lawful obligations incurred before termination.

13.2. Termination by Floral.am

Floral.am may terminate services in the event of a material breach of these Terms, on grounds provided by law, or where circumstances make service provision impossible.

Where immediate termination is not required, the partner will receive prior notice.

13.3. Data Return and Deletion

Upon termination, partners may request access to or delivery of their data within the Platform’s technical capabilities and the terms agreed between the parties.

The procedures for data return, retention, and deletion are governed by the Privacy Policy, applicable law, and any separate data processing agreement.

13.4. Outstanding Orders

Partners remain responsible for fulfilling or canceling orders accepted before termination and resolving related buyer claims.

Floral.am does not assume responsibility for fulfilling those orders.

14. Limitation of Liability

Floral.am is responsible for the technology services it provides within the scope of these Terms and applicable law.

As a general rule, Floral.am is not responsible for:

the quality of products sold by partners;
a partner’s failure or delay in fulfilling orders;
commercial disputes between buyers and partners;
inaccurate information published by partners;
failures of third-party payment systems;
consequences of a partner’s inadequate protection of account access credentials.

However, no limitation of liability applies to the extent prohibited by law or where damage results from Floral.am’s own unlawful conduct and liability cannot lawfully be excluded.

15. Third-Party Services

Floral.am may provide integrations with payment, communication, mapping, analytics, and other external services.

Use of such services may be governed by the separate terms of the relevant providers.

Partners are responsible for lawful use of the integrations they activate and for obtaining any necessary authorizations.

Floral.am does not control all actions of independent third parties and does not guarantee the continuous availability of their services.

16. Changes to These Terms

Floral.am may periodically update these Terms to reflect:

changes in legislation;
development of Platform features;
changes to services and pricing;
security requirements;
technical and organizational needs.

The current version of these Terms will be published on floral.am with the date of the latest update.

Partners will be notified in advance of material changes through appropriate communication channels.

Pricing changes are additionally subject to the specific provisions of Sections 5.4 and 5.5.

If applicable law or an agreement between the parties requires separate acceptance of a change, it will take effect after such acceptance.

Partners may discontinue using the services if they disagree with the new Terms, while remaining responsible for obligations already incurred.

17. Force Majeure

The parties may be relieved of liability for failure or improper performance of obligations where such failure results from force majeure circumstances recognized by applicable law.

Such circumstances may include natural disasters, military actions, restrictive decisions of public authorities, hacker attacks, and other extraordinary and unavoidable events, provided the legal requirements for force majeure are satisfied.

A technical failure does not automatically constitute force majeure unless it meets the criteria established by law.

The affected party must, where possible, notify the other party within a reasonable period and take measures to minimize the consequences.

18. Governing Law and Dispute Resolution

These Terms are governed by and interpreted in accordance with the laws of the Republic of Armenia.

The parties will first seek to resolve disputes relating to these Terms through negotiations and written communication.

If no agreement is reached, the dispute will be resolved by a competent court of the Republic of Armenia in accordance with applicable law.

Nothing in these Terms limits the mandatory rights or legal remedies available to either party under applicable law.

19. Miscellaneous

19.1. Entire Agreement

These Terms, the Privacy Policy, applicable pricing rules, and separate agreements between the parties collectively govern the relevant aspects of Platform use.

In the event of a conflict between a separate written agreement and these Terms, the specific provisions of the separate agreement will apply to the relevant relationship unless otherwise required by law.

19.2. Severability

If any provision of these Terms is found invalid or unenforceable, that finding will not, by itself, affect the validity of the remaining provisions.

19.3. No Waiver

Failure to immediately exercise any right does not constitute a waiver of that right.

19.4. Electronic Communications

Communications between the parties may take place by email, through the Platform management dashboard, or through other agreed electronic means.

Floral.am may retain records of acceptance of these Terms, including the acceptance date, applicable version, and necessary related technical information, to the extent permitted by law.
